These terms are designed to comply with Act V of 2013 on the Civil Code (Hungary), Act CLV of 1997 on Consumer Protection (Hungary), and other applicable Hungarian and European laws.

1. Introduction and Acceptance

Welcome to Tixace Travel ("we," "our," "us," or "the Service"). These Terms and Conditions ("Terms") govern your access to and use of our AI-powered travel planning service, including our Iris travel companion feature, website, and related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Service.

These Terms are governed by Hungarian law and comply with Act V of 2013 on the Civil Code (Hungarian Civil Code) and Act CLV of 1997 on Consumer Protection (Hungary).

2. Service Description

Tixace Travel provides an AI-powered travel planning service that helps users create, manage, and organize travel plans. Our service includes:

2.1. Iris Travel Companion

Our AI-powered travel planning assistant ("Iris") generates personalized travel itineraries based on your descriptions, preferences, and selected filters. Iris uses artificial intelligence to create travel plans, but the generated plans are suggestions only and do not constitute actual travel bookings or reservations.

2.2. Travel Plan Management

You can create, view, edit, and manage travel plans through our Service. This includes organizing itineraries, managing pricing information, and coordinating with multiple travelers and organizers.

2.3. Additional Features

  • Travel plan finalization with organizer and traveler information
  • Additional trip recommendations and integration
  • Pricing calculations and breakdowns
  • Travel plan sharing and collaboration

Important Service Limitations

  • Our Service provides travel planning assistance only; we do not book flights, accommodations, or other travel services
  • We are not a travel agency and do not provide actual travel services
  • Generated travel plans are suggestions and recommendations only
  • We do not guarantee the availability, pricing, or accuracy of any travel services mentioned in generated plans
  • You are responsible for verifying all travel information and making actual bookings independently

3. User Accounts and Registration

Currently, our Service may be used without formal account registration. However, by using our Service, you agree to:

  • Provide accurate and complete information when creating travel plans or using our features
  • Maintain the security and confidentiality of any access credentials or travel plan links
  • Notify us immediately of any unauthorized use of your information or travel plans
  • Be responsible for all activities that occur under your travel plans or through your use of the Service

If we implement formal user accounts in the future, we will update these Terms and provide appropriate registration procedures. You may be required to create an account and provide additional information to access certain features.

4. User Obligations

You agree to use our Service only for lawful purposes and in accordance with these Terms. You agree not to:

4.1. Prohibited Uses

  • Use the Service for any illegal purpose or in violation of any applicable laws or regulations
  • Violate any intellectual property rights of others
  • Upload, transmit, or distribute any content that is harmful, offensive, defamatory, or violates any third-party rights
  • Attempt to gain unauthorized access to our Service, systems, or data
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use automated systems (bots, scrapers) to access or use the Service without our express written permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Collect or harvest information about other users without their consent
  • Use the Service to transmit spam, unsolicited messages, or malicious code

4.2. Accurate Information

You agree to provide accurate, current, and complete information when using our Service. You are responsible for maintaining the accuracy of your information and updating it as necessary.

4.3. Travel Plan Responsibility

You are solely responsible for:

  • The content and accuracy of your travel plans
  • Verifying all travel information, including prices, availability, and booking requirements
  • Making actual travel bookings and reservations independently
  • Complying with all travel requirements, including visas, passports, and health requirements
  • Obtaining appropriate travel insurance

4.4. Organizer and Traveler Information

When you provide information about organizers or travelers, you represent and warrant that:

  • You have obtained all necessary consents from such individuals
  • The information is accurate and complete
  • You have the right to share such information with us

Violation of these obligations may result in immediate termination of your access to the Service and potential legal action.

5. Intellectual Property Rights

5.1. Our Intellectual Property

The Service, including all content, features, functionality, design, text, graphics, logos, icons, images, software, and code, is owned by Tixace Travel or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, lease, or create derivative works from any part of the Service without our express written permission.

5.2. User-Generated Content

You retain ownership of any travel plans, descriptions, and other content you create or upload to the Service ("User Content"). However, by using our Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to:

  • Use, store, process, and display your User Content to provide the Service
  • Use your User Content to improve our AI models and service features (in anonymized or aggregated form)
  • Back up and archive your User Content

You represent and warrant that you have all necessary rights to grant this license and that your User Content does not violate any third-party rights.

5.3. AI-Generated Content

Travel plans and itineraries generated by our AI (Iris) are suggestions based on your input. The intellectual property rights in AI-generated content are owned by Tixace Travel. You may use AI-generated travel plans for your personal travel planning purposes, but you may not reproduce, distribute, or use them for commercial purposes without our permission.

5.4. Feedback

If you provide feedback, suggestions, or ideas about our Service, you agree that we may use such feedback without obligation to you and that such feedback becomes our property.

6. Service Availability and Modifications

6.1. Service Availability

We strive to provide continuous access to our Service, but we do not guarantee that the Service will be available at all times or free from interruptions. The Service may be unavailable due to:

  • Scheduled maintenance or updates
  • Technical issues or failures
  • Force majeure events
  • Actions by third-party service providers

6.2. Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may add, change, or remove features, functionality, or content. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

6.3. Service "As Is"

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, except as required by applicable law (see Section 12 for consumer rights).

7. Pricing and Payments

7.1. Service Pricing

Currently, our Service may be provided free of charge or may have pricing plans. Any pricing information displayed in travel plans generated by our Service (such as flight prices, hotel rates, etc.) are estimates or suggestions only and do not represent actual booking prices or availability.

7.2. Payment Processing - Barion

We use Barion Payment Services ("Barion") to process payments for our Service. Barion is a Hungarian payment service provider authorized and supervised by the Magyar Nemzeti Bank (Central Bank of Hungary).

By making a payment through our Service, you agree to:

  • Barion's Terms and Conditions available at www.barion.com
  • Barion's Privacy Policy available at www.barion.com
  • Comply with all applicable payment regulations and requirements

Payment Security: All payments are processed securely through Barion. We do not store, process, or have access to your full payment card details. Payment card information is handled directly by Barion in accordance with PCI DSS (Payment Card Industry Data Security Standard) requirements.

Payment Methods: Barion supports various payment methods including credit cards, debit cards, bank transfers, and other payment methods available in Hungary and the European Union.

Transaction Processing: Payment transactions are processed in real-time. You will receive a payment confirmation email from Barion upon successful payment. We will also receive confirmation of your payment to process your order or service request.

Payment Disputes: If you have issues with a payment transaction, please contact Barion directly or contact us at hello@tixace.com. We will assist in resolving payment-related issues in good faith.

7.3. Payment Terms and Pricing

If we implement paid features or subscriptions, we will provide clear pricing information in Hungarian Forint (HUF) or other clearly specified currencies. All prices are inclusive of applicable taxes (VAT) unless otherwise stated.

Payment terms will comply with Hungarian consumer protection law, including:

  • Right to clear pricing information before purchase
  • Right to cancel certain digital service contracts within 14 days (subject to applicable exceptions)
  • Right to receive clear information about payment methods and terms

7.4. Currency

Payments for our Service are processed in Hungarian Forint (HUF) or other currencies as specified at the time of purchase. Pricing information in travel plans generated by our AI (Iris) may be displayed in various currencies (EUR, USD, etc.) for informational purposes only. Currency conversions are estimates and may not reflect actual exchange rates at the time of payment.

7.5. Refunds and Cancellations

Refund policies depend on the type of service purchased:

  • Digital Services: For digital services provided immediately with your consent, your right of withdrawal may be limited under Hungarian consumer protection law once the service has been fully performed.
  • Subscription Services: If you cancel a subscription, you will continue to have access until the end of your current billing period. No refunds will be provided for the current period unless otherwise specified.
  • Service Issues: If you experience technical issues or service failures that prevent you from using a paid service, please contact us at hello@tixace.com. We will review refund requests on a case-by-case basis.

To request a refund, please contact us at hello@tixace.com with your payment transaction details. Refund requests will be processed within 14 business days, and refunds will be issued to the original payment method through Barion.

In accordance with Hungarian consumer protection law (Act CLV of 1997), consumers have certain statutory rights regarding refunds that cannot be limited by these Terms.

7.6. Failed Payments and Declined Transactions

If a payment is declined or fails, you will be notified by Barion. Common reasons for payment failures include:

  • Insufficient funds in your account
  • Incorrect payment card information
  • Payment card expiration or cancellation
  • Bank security restrictions
  • Technical issues with the payment processor

If your payment fails, please verify your payment information and try again, or contact your bank or payment card issuer. We are not responsible for payment failures that are due to issues with your payment method or financial institution.

Important Note

We do not process payments for actual travel bookings (flights, hotels, etc.). All actual travel bookings and payments must be made directly with travel service providers (airlines, hotels, etc.). We are not responsible for any payments made to third-party travel service providers. Payments through our Service are only for Tixace Travel service fees, subscriptions, or other services we directly provide.

8. Limitation of Liability

8.1. Disclaimer of Warranties

To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including:

  • Warranties of merchantability and fitness for a particular purpose
  • Warranties regarding the accuracy, completeness, or reliability of travel plans or information
  • Warranties that the Service will be uninterrupted, secure, or error-free
  • Warranties regarding the availability, pricing, or quality of actual travel services

8.2. Limitation of Liability

To the fullest extent permitted by applicable law, our liability is limited as follows:

  • We are not liable for any indirect, incidental, special, consequential, or punitive damages
  • We are not liable for loss of profits, data, or business opportunities
  • Our total liability for any claims shall not exceed the amount you paid us (if any) in the 12 months preceding the claim, or EUR 100, whichever is greater
  • We are not liable for any travel-related losses, including missed flights, cancelled bookings, or travel expenses
  • We are not liable for decisions made based on AI-generated travel plans

8.3. Third-Party Services

Our Service may reference or link to third-party travel services (airlines, hotels, etc.). We are not responsible for the availability, pricing, quality, or terms of any third-party services. Your interactions with third-party services are solely between you and the third party.

8.4. Force Majeure

We are not liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or failures of third-party service providers.

Consumer Rights Exception

Nothing in this section limits your rights as a consumer under Hungarian consumer protection law. Consumers retain all statutory rights that cannot be limited by contract.

9. Indemnification

You agree to indemnify, defend, and hold harmless Tixace Travel, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your User Content
  • Any travel decisions or actions taken based on our Service

This indemnification obligation does not apply to the extent that liability results from our gross negligence or willful misconduct.

10. Termination

10.1. Termination by You

You may stop using our Service at any time. You may also request deletion of your travel plans and data by contacting us.

10.2. Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice, if:

  • You violate these Terms
  • You engage in fraudulent, illegal, or harmful activities
  • We are required to do so by law
  • We discontinue the Service

10.3. Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete or retain your data in accordance with our Privacy Policy and applicable law. Provisions of these Terms that by their nature should survive termination will survive.

11. Dispute Resolution

11.1. Informal Resolution

Before initiating formal proceedings, we encourage you to contact us to attempt to resolve any disputes informally. We will make good faith efforts to resolve disputes within 30 days.

11.2. Alternative Dispute Resolution (ADR)

For consumers, in accordance with EU Directive 2013/11/EU and Hungarian law, you may use the following ADR mechanisms:

  • Hungarian Arbitration Board: For consumer disputes, you may contact the Hungarian Arbitration Board (Magyar Fogyasztóvédelmi Döntőbíróság)
  • Online Dispute Resolution (ODR): You may use the EU's Online Dispute Resolution platform at ec.europa.eu/consumers/odr

11.3. Jurisdiction

For consumers: Any disputes may be brought before the courts of your place of residence or the courts of Hungary, at your choice.

For businesses: Any disputes shall be subject to the exclusive jurisdiction of the courts of Hungary.

11.4. Class Action Waiver

To the extent permitted by law, you agree that any disputes will be resolved individually and not as part of a class action or representative proceeding.

12. Consumer Rights

If you are a consumer (natural person using the Service for purposes outside their trade, business, or profession), you have additional rights under Hungarian consumer protection law:

12.1. Right to Clear Information

You have the right to receive clear, comprehensible information about the Service, pricing, and terms before making any commitments.

12.2. Right of Withdrawal

For digital services, your right of withdrawal may be limited if:

  • You have consented to immediate performance of the service
  • You have acknowledged that you lose your right of withdrawal upon consent
  • The service has been fully performed with your consent

If you have a right of withdrawal, you may withdraw within 14 days of purchase without giving any reason. Contact us to exercise this right.

12.3. Prohibition of Unfair Terms

Under Act CLV of 1997, unfair contract terms are not binding on consumers. If any term in these Terms is found to be unfair, it will not be enforceable against you.

12.4. Consumer Protection Authority

You may file complaints with the Hungarian Consumer Protection Authority (Nemzeti Fogyasztóvédelmi Hatóság) or contact consumer protection organizations for assistance.

13. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using our Service, you consent to our data practices as described in our Privacy Policy.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website with a new "Last updated" date
  • Sending email notifications for significant changes (if you have provided your email)
  • Displaying a prominent notice on our website when you next visit

Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.

For consumers, we will not make changes that substantially reduce your rights without your explicit consent.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. The invalid provision will be replaced with a valid provision that most closely approximates the intent of the original provision.

16. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Hungary, specifically:

  • Act V of 2013 on the Civil Code (Hungarian Civil Code)
  • Act CLV of 1997 on Consumer Protection (Hungary)
  • Regulation (EU) 2016/679 (GDPR) and Act CXII of 2011 on Informational Self-Determination and Freedom of Information
  • Other applicable Hungarian and European laws

Subject to the dispute resolution provisions in Section 11, any disputes arising from or relating to these Terms or the Service will be subject to the jurisdiction of the courts of Hungary, except where mandatory consumer protection law provides otherwise.
